As general counsel, Liz McCarron is responsible for developing and executing a legal engagement model aligned to the company’s growth, innovation, and profitability initiatives. When Kronos merged with Ultimate Software in April 2020, McCarron became general counsel of the newly combined company with more than 12,000 employees. She oversees worldwide legal and regulatory affairs in the more than 100 countries in which the company serves its customers.

McCarron leads an experienced team that works to identify and manage risks, navigate an increasingly complex legal and regulatory environment, and provide solution-oriented guidance to help the company achieve its business objectives. They partner on revenue transactions, mergers and acquisitions, product development and intellectual property, corporate governance, and global privacy and employment law matters. The team also handles the company’s litigation and manages its legal compliance, risk management, and corporate social responsibility programs.

Before joining Kronos in March 2019, McCarron helped build and lead the global legal organization at McAfee, first as deputy general counsel and chief compliance officer and subsequently as acting general counsel and a member of the executive team. Prior to McAfee, McCarron was with EMC Corporation for 14 years, where she held a number of leadership roles in the legal department. Her responsibilities at EMC included oversight of EMC’s global litigation, employment law, privacy and public sector contracting matters and its global ethics and compliance program. She also managed the legal affairs of RSA, then the security division of EMC. Following the EMC–Dell merger, McCarron joined the combined companies’ global leadership team as senior vice president.

McCarron earned a bachelor’s degree in psychology from the College of the Holy Cross, as well as a juris doctor degree from the School of Law at the University of Virginia.
