Official Contest Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. Entry into this Contest constitutes your acceptance of these Official Rules.

CONTEST ENTRY DATES: The "How Do You Kronos®?" Contest ("Contest") begins at 12:01 AM Eastern Time ("ET") on 6/15/08 and ends at 11:59 PM ET on 8/31/08 ("Contest Entry Period").

WHO MAY ENTER: Contest is open to: (i) legal residents of the 50 United States and the District of Columbia and Canada (except the province of Quebec); (ii) age 21 or older at time of entry; and (iii) who are Kronos customers or Kronos users prior to the start of the Contest. Employees and their immediate families (spouse, parent, child, sibling and their respective spouses, regardless of where they reside or those living in the same households, whether or not related) of Kronos Incorporated ("Sponsor"), KickApps Corporation, and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies (collectively, "Contest Parties") or any developer and/or manufacturer of: application software to manage business solutions are not eligible to enter or win. Contest governed by U.S. law. Contest is subject to all applicable federal, state, provincial and local laws and regulations. Void in the province of Quebec, Canada and where prohibited by law.

CONTEST OBJECTIVE: The objective of this Contest is to upload a 1-2 minutes video ("Video") telling us how you use Kronos. The length of the video is suggested in a minimum of one (1) minute and maximum of 2 minutes. If video exceeds 2 minutes in length, only the first 2 minutes of the video will be considered for judging.

Video must be in English and in the following format: .flv, .wmv, .asf, .avi, .mov, .3gp, .mpg, .mpeg, or .mp4. Video can be no larger than 100 MB limit.

Limit one (1) video Entry per person/user during the Contest Entry Period. Multiple Entries received from any one person or user after the first video Entry is received from such person or user will be void.

HOW TO ENTER: During the Contest Entry Period, visit videocontest.kronos.com (referred herein as "website"), and follow the onscreen instructions to complete the registration process and upload your video ("Entry"), including using the post to other approved sites or embed tools to spread your entry across the Internet. To upload your video, you will need to become a registered user. To register for free, follow all online screen instructions. All Entries must be received by 11:59 p.m. ET on 8/31/08. For purposes of these Official Rules, "receipt" of an Entry occurs when Sponsor's servers record the Entry information resulting from user clicking the "Submit" or "Join" button. Any automated computer receipt (such as one confirming delivery of email) does not constitute proof of actual receipt by Sponsor for purposes of these Official Rules.

Contest Parties do not guarantee the posting of any Entry. Sponsor reserves the right to disqualify or remove any Entry for any reason, in its sole and absolute discretion.

CONTEST GUIDELINES
Entries that do not meet the following "Content Guidelines" are subject to disqualification from Contest consideration and/or removal, in the Sponsor's sole discretion:

  • Entries must comply with the Terms of Use and the Official Rules.
  • Entries must meet specifications or requirements called for in these Official Rules.
  • Entries must be the original work of the contestant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the contestant and/or which are subject to the rights of third parties, the contestant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules (including, without limitation, releases signed by a parent or legal guardian for anyone featured who is under the age of majority in his/her state of residence) (collectively, the "Clearances"). By submitting an Entry, contestant warrants and represents that he or she has all rights to the Entry, and any person(s) appearing or identifiable in the Entry consent to the submission and use of the Entry in the Contest.
  • Do not (i) upload videos you find on the Internet, (ii) use copyrighted music in your Entry or (iii) use trademarks or logos belonging to any third parties in your Entry.
  • Entries must not include material that (i) are sexually explicit, indecent, obscene, unnecessarily violent, hateful, tortuous, defamatory, slanderous or libelous, (ii) is derogatory, designed to harass or promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, (iii) invades the privacy or publicity rights of any person, living or deceased, or the intellectual property or other rights of any person or entity, (iv) is unlawful, (v) is disparaging to any of the Contest Parties or is inconsistent with the positive images and/or goodwill such parties have worked hard to create and wish to associate with their companies.

Contestants grant the Sponsor the right to post Entries on its website and are available to be viewed by anyone with access to the Internet. The Contest Parties shall have no liability for the use or misuse of your Entries by third parties. All Entries may remain on such website in perpetuity or for as long as Sponsor deems appropriate to archive.

Contestants hereby irrevocably grant to Sponsor a non-exclusive, sub-licensable, royalty-free, fully-paid license and right to use, publish, distribute, make derivative works from and otherwise exploit the Entry, in any manner and in any medium now known or hereafter devised, throughout the universe in perpetuity. Contestants hereby forever waive and relinquish all so-called "moral rights" now or hereafter recognized. Contestants agree that the Contest Parties shall have sole discretion in determining the extent and manner of use of Entries and are not obligated to use any Entry.

Your Entry may not be acknowledged and will not be received or held "in confidence" and your Entry does not create a confidential relationship or obligation of secrecy between you and the Sponsor or its respective parent company, affiliates or subsidiaries. All Entries submitted become property of the Sponsor and will not be returned or acknowledged.

Contestant has the responsibility to review and understand his/her employer's policies and applicable laws regarding contestant's eligibility to participate in and/or accept any prize in this Contest. If an individual is participating and is in violation of such laws or his/her employer's policies, the individual may be disqualified from this Contest. Sponsor disclaims any and all liability or responsibility for disputes related to this matter.

JUDGING: There will be two (2) rounds of judging: (i) Round 1 and (ii) Round 2.

Round 1: Entries will be posted on videocontest.kronos.com for public rating. Kickapps.com users can view, rate or vote all Contest Entries. Only one (1) vote per person or per user per Entry is allowed. Viewing, rating and voting activity is weighted and calculated by kickapps.com's proprietary automated scoring system and each Entry is given a resulting score. Rating/voting generated by script, macro or other automated means or with the intent to impair the integrity of the viewing/rating/voting process, as determined by kickapps.com and Sponsor in their sole discretion, will be void.

In order to get more attention to your Entry, contestants can "Post on another network or blog" or "Embed" tools provided on the website to spread their Entries across the Internet to other sites where such activities are permissible, including, but not limited to, social networking sites. The factors considered to determine the Highest Rated and Most Viewed ranking are the number of sites an Entry is posted to, the number of unique viewers of the Entry, and the number of people who have shared the Entry. Inappropriate sharing activity including spamming or posting content to irrelevant or inappropriate sites may be grounds for disqualification.

Round 2: The top 5 highest rated and top 5 most viewed entries will be judged by a Sponsor-designated panel to determine the winning Entries based on the judging criteria below. The Entry with the highest score in Round 2, as determined by the judges in their sole discretion, will be declared the Grand Prize winner. The second highest score will be declared the Second Prize winner and the third highest score will be declared the Third Prize winner.

All Round 2 judging will be based on the following equally weighted criteria: 1) creativity; 2) originality; and 3) clarity of description of how entrant enjoys using Kronos. In the event of a tie, winner will be determined based on highest score for creativity. In the event of a further tie, winner will be determined based on highest score for originality.

Sponsor reserves the right to not award any prize if, in its sole and absolute discretion, it does not receive a sufficient number of eligible and qualified Entries. Judges' and Sponsor's decisions are final and binding on all matters.

WINNER NOTIFICATION: Potential winners will be determined on or about October 1, 2008 at the offices of the Sponsor. Winners will be notified by email, telephone and/or mail and will be required to execute and return an Affidavit of Eligibility and Liability and, unless prohibited by law, Publicity Release ("Affidavit/Release") as well as any other documents which may be required by Sponsor, all of which must be received fully-executed within fourteen (14) days of date printed on notification or he/she may be disqualified. A background check may be conducted on winners. At the discretion of the Sponsor, a winner may be disqualified for any of the following: if charged with or convicted of a felony or misdemeanor, is not eligible based on the eligibility requirements set forth above, or if delinquent on a government ordered payment, such as but not limited to: child support, spousal support, alimony, tax payments, etc. In the event it is determined that a winner has not complied with these Official Rules, or has failed to execute and return any required documents within the specified time period, or has made false statements or a prize notification is returned as undeliverable, that winner will be disqualified. Should a winner make any false statement(s) in any document required by Sponsor, winner will be disqualified and required to promptly return to Sponsor his/her prize. If a winner is disqualified for any reason, at Sponsor's discretion, the contestant with the next highest score may be declared the alternate winner.

PRIZES: One (1) Grand Prize: $10,000 Cash. One (1) Second Prize: $5,000 Cash. One (1) Third Prize: $1,000 Cash. All prizes will be awarded in the form of a check in US dollars. Maximum value of all prizes: $16,000.00. Prizes are non-transferable. All taxes associated with any prize are the sole responsibility of each winner. Limit: One prize per household.

Winning constitutes permission (except where prohibited by law) to use each winner's name, photograph and/or video, hometown, likeness, and prize won (all at Sponsor's discretion) for future advertising, publicity in any and all media now or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission. Contest Parties and their respective officers, directors, agents, representatives and employees (collectively, "Released Parties") are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed Entries; all of which will be void. Released Parties are also not responsible for problems uploading or downloading any Contest-related information or materials from the website or for any other technical malfunctions of electronic equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any Entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit a contestant's ability to participate in this Contest. Released Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Contest, the processing or viewing/voting/rating/judging of Entries, the announcement of prizes or in any Contest-related materials. Mass Entries or Entries generated by a script, macro or use of automated devices will be disqualified. Sponsor reserves the right to modify, suspend or terminate the Contest in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the Contest in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity or proper play of the Contest and, if terminated, at Sponsor's discretion, determine the winners (as applicable) using all non-suspect, eligible Entries received up to time of cancellation and using the judging procedure outlined above. Authorized user is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the Entry process or the operation of this Contest or website, intending to annoy, abuse, threaten or harass any other contestant, Sponsor or any of its representatives or to otherwise be acting in violation of these Official Rules and void all associated Entries. CAUTION: Any attempt by a contestant to deliberately damage any website or undermine the legitimate operations of the Contest is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages from any such contestant to the fullest extent permitted by law and to disqualify such contestant from the Contest. Any attempt to cheat by creating fake profiles will be looked upon very seriously, and can result in immediate and permanent ban, and possible further action.

SUSPENSION / MODIFICATION / TERMINATION: In the event the Sponsor is prevented from continuing with the Contest by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or provincial or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within its control (each a "Force Majeure" event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Contest. Sponsor reserves the right to modify, suspend or terminate the Contest without notice or by posting a notice on website, in its sole and absolute discretion, if it is determined that the Contest is technically impaired or corrupted or fraud or technical problems, failures or malfunctions or any Force Majeure event(s) has destroyed or severely undermined or impaired the integrity and/or feasibility of the Contest.

ASSIGNMENT OF RIGHTS: By submitting an Entry, contestant acknowledges and agrees that Sponsor may obtain many Entries under this Contest and that such Entries may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or other contests staged and/or sponsored by the Sponsor, and waive any and all claims contestant may have had, may have, and/or may have in the future, that any video accepted, reviewed and/or used by the Sponsor (or its respective designees) may be similar to his/her Entry. Contestant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to contestant's Entry.

REPRESENTATIONS AND WARRANTIES: Each contestant represents and warrants that he or she has read, understands and will adhere to these Official Contest Rules. Each contestant further represents and warrants that he or she has the right to agree to and fully perform consistent with these Official Contest Rules and no consent of any third parties is required to grant the rights hereunder.

RELEASES / INDEMNITIES: By entering the Contest, contestants agree to release and hold harmless the Released Parties from any and all third party claims, liability or damage caused or claimed to be caused, in whole or in part, directly or indirectly, in connection with participation in this Contest, during the filming/production of video, or acceptance or use of any prize, the administration of the Contest, the operation of the website, the Released Parties' use of any of the rights granted herein or any breach by contestant of any representation, warranty or covenant made by such contestant in connection with the Entry. Released Parties assume no responsibility for the conduct of any contestant or the responses of anyone appearing in any Entry.

PRIVACY: Information collected from contestant is subject to kronos.com's and kickapps.com's privacy policies, located at http://kronos.com/Privacy.htm and http://www.kickapps.com/legal/privacy-policy.html.

ARBITRATION AND CHOICE OF LAW: Except where prohibited by law, as a condition of participating in this Contest, contestant agrees that (i) any and all disputes and causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the contestant; (ii) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (iii) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will contestant be permitted to obtain awards for, and contestant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, and contestant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of contestants and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of Massachusetts, USA.
